Service Terms & Conditions
1. Introduction
1.1 These terms and conditions (the “Terms”) apply for all hosting artists using the platform on dotslines.ca, provided by Dots & Lines Inc., Corporate no. 2024348910, Calgary Alberta, Canada (“Dots & Lines”, “we” and “us”).
1.2 When signing up as a hosting artist on dotslines.ca (the “Website”), you are explicitly accepting these Terms. If you do not accept the Terms, you must refrain from using our Website.
1.3 We reserve the right to amend these Terms from time to time. If we implement changes, an updated version of the Terms will be available on our Website and on your dashboard. You are obligated to stay updated on the Terms, and if you cannot accept any new versions of the Terms, you must immediately stop using our Website.
1.4 The Terms, the policies published on our Website and your dashboard, and our privacy policy constitutes the entire agreement concerning your use of the Website.
1.5 Our privacy policy will at any time be available on our Website, and you must explicitly accept our privacy policy to sign up as a hosting artist.
2. Platform and Ticket Services
2.1 These Terms govern your rights and obligations as a hosting artist using the platform provided by Dots & Lines via the Website.
2.2 As a hosting artist, you will have the opportunity to create and list artistic and cultural events and experiences (“Experience”) hosted and/or organized by you (the “Hosting Artist”) to our users in Calgary, Edmonton, online, and other locations where Dots & Lines operates. The users can use our Website to purchase tickets for your Experiences.
2.3 Dots & Lines is a platform provider and a ticket intermediary. Dots & Lines provides tickets to Experiences listed by Dots & Lines and/or the Hosting Artist and collects payments from ticket buyers on behalf of the Hosting Artist against the payment of a services fee (see further below).
2.4 The relationship between the Hosting Artist and Dots & Lines is that of independent individuals/entities. Under no circumstances shall the relationship be construed as one of an employment, agent, joint venture, partnership or similar.
3. Hosting Artists Accounts
3.1 To become a Hosting Artist, you must create a personal login to our Website. The login information must be kept secret and may not be shared with any third parties.
3.2 Once you have created a login as a Hosting Artist you can request us to list the Experiences you wish to offer on our Website. Experiences must be approved by us before they can be listed, see section 4.
3.3 Dots & Lines reserves all rights to suspend or terminate any Hosting Artist, Experiences and/or Hosting Artist profile, if Dots & Lines at its sole discretion considers any of the aforementioned to be in breach of our Terms, policies, guidelines or procedures available on our Website and/or your dashboard. Dots & Lines shall have no liability for any utilization of this right.
4. Experiences
4.1 As a Hosting Artist, you will be able to request listing of an Experience on the Website.
4.2 All Experiences are approved by Dots & Lines, before they are listed. This gives Dots & Lines the opportunity to secure alignment with the Terms, policies, guidelines and procedures and the purpose of our platform.
4.3 We reserve the right to reject the listing of any Experiences at our sole discretion. We cannot be held liable for any direct or indirect losses or damages incurred as a result of a rejection of an Experience requested for listing.
4.4 Each listed Experience accepted by us is created with an Experience page. The Experience page must include clear and accurate information about the Experience for the visitors. The Experience page must as a minimum include the information set out in Appendix 1. It is the obligation of the Hosting Artist to secure that the information provided is maintained and kept up to date.
5. Hosting Artist Obligations
5.1 The Hosting Artists must complete all Experiences listed on the Website, if any tickets are purchased for the Experience.
5.2 No requirement of minimum numbers of participants may be imposed as a condition for completion of an Experience.
5.3 The Hosting Artist agrees that Experiences listed on the Website may only be attended by participants purchasing a ticket through the Website. The Hosting Artist agrees to not allow any participants to participate in the Experience listed on the Website unless a ticket is purchased via the Website.
5.4 The Hosting Artist is responsible for providing all equipment, supplies, and similar needed for the Experience at its own costs.
5.5 The Hosting Artist may not accept any online or offline payments for the Experiences listed on the Website. Payments are solely processed via Dots & Lines.
5.6 The Hosting Artist is obligated to secure that the information provided on the Website is complete, accurate and as specific as possible.
5.7 The Hosting Artist alone is responsible for completing the Experiences in compliance with all regulatory and legal requirements.
5.8 Private gatherings and bookings are defined as Experiences where the customers can request the Experience for private occasions (“Private Experiences”). Private Experiences may be booked in Calgary, Edmonton, and surrounding areas. For locations outside either city area, travel fees may apply.
5.9 If the Hosting Artist has offered Private Experiences, the Hosting Artist must respond to any booking request within 24 hours. If a response is not provided within 24 hours, Dots & Lines may at its sole discretion remove the Hosting Artist’s option to offer Private Experiences.
6. Payments
6.1 Dots & Lines uses Stripe and e-Transfer to collect payments from ticket buyers and to make payments to the Hosting Artist.
6.2 Dots & Lines collects payments (excluding GST) directly from ticket buyers on behalf of the Hosting Artist. Payments are collected from the ticket buyer immediately after a purchase has been completed.
6.3 Dots & Lines charges a fee for providing the Website and acting as the intermediary between the ticket buyer and the Hosting Artist (the “Service Fee”). Refer to Appendix 2 for a breakdown of Dots & Lines’ Services. Two categories of Service Fees are charged:
6.3.1 A 30% service fee is charged on the total collected payments for Experiences hosted at a physical space provided by Dots & Lines, after the deduction of venue fees (rent, catering, etc.), as well as for private experiences hosted at clients’ locations.
6.3.2 A 25% Service Fee is charged from the total collected payments for Experiences hosted at a physical space secured by the Hosting Artist, or virtual Experiences hosted online by the Hosting Artist.
6.4 The Service Fee is automatically deducted from the collected payments before any payment is made to the Hosting Artist. The remaining amount, less any amounts deducted under Section 9.2.2, is released to the Hosting Artist only upon successful completion of the Experience. Dots & Lines will strive to release payments as soon as possible after completion and shall have no liability for delays due to banking hours, holidays, or weekends.
6.5 Dots & Lines has no liability in respect of any tax, GST or other legal obligations of the Hosting Artist.
7. Limitation of Liability
7.1 None of the parties shall bear any liability for indirect or consequential losses and damages.
7.2 The aggregate liability of Dots & Lines will under no circumstance exceed an amount equivalent to the total ticket price collected on behalf of the Hosting Artist for the specific Experience listed on the Website. Dots & Lines will only be liable in case of gross negligence or intentional breach of these Terms.
8. Term and Termination
8.1 The Hosting Artist can at any time terminate this agreement, provided that the Hosting Artist has no active Experiences for which tickets have already been purchased.
8.2 Dots & Lines may terminate the agreement at any time without notice, and immediately suspend the Hosting Artist’s profile, if Dots & Lines at its sole discretion finds that the Hosting Artist is in breach of the Terms, applicable policies or procedures, and/or applicable regulations, or is for any other reason considered necessary.
8.3 If the Hosting Artist has been inactive for a period of more than 6 months, Dots & Lines reserves the right to suspend the account on the Website. Dots & Lines will permanently terminate the account after 24 months of consecutive inactivity of the Hosting Artist.
9. Cancellation Policy
All cancellation requests, from either the Host Artist or the Client, must be submitted in writing to bo*****@*******es.ca.
9.1 Client Cancellations
9.1.1 Timely Cancellation for a listed experience on dotslines.ca: If a cancellation is received on or before the specific notice deadline listed on the booking page, the Client will receive a Full Refund less a non-refundable administrative fee (to cover payment processing and platform costs).
9.1.2 Late Cancellation/No-Show: If cancellation is received after the specific notice deadline, or if the Client fails to attend the experience (a “no-show”), No Refund will be issued. The full ticket fee will be retained by Dots & Lines.
9.1.3 For Private Bookings: Cancellations received 30 days or more before the event date: 20% processing fee will be retained to cover materials and administrative costs; Cancellations received within 15 days of the event date: 50% processing fee will be retained; Cancellations received within 7 days of the event date are non-refundable.
9.2 Hosting Artist Cancellations
9.2.1 If a Hosting Artist cancels an experience that has confirmed bookings, Clients will receive a 100% refund of all ticket fees paid.
9.2.2 Hosting Artist Responsibility: If a Hosting Artist cancels an Experience that has confirmed bookings, the Hosting Artist is responsible for covering (a) the transaction processing fees incurred on the original bookings, and (b) any reasonable, documented costs incurred by the Client as a result of the cancellation (for example, travel expenses or parking). Dots & Lines will deduct these amounts under Section 6.4 from any payments otherwise due to the Hosting Artist, whether for the cancelled Experience or any other Experience. If no payment is due to the Hosting Artist, Dots & Lines may invoice the Hosting Artist for these amounts, and the Hosting Artist agrees to pay the invoice within 3 days.
9.3 If Dots & Lines cancels an experience (for example due to venue issues, artist unavailability, or low enrollment), you may choose a full refund or a reschedule/credit.
10. Governing Law and Disputes
10.1 The business relationship between the Hosting Artist and Dots & Lines is governed by Canadian law.
10.2 Any dispute that may arise must be decided by the Alberta Court of Justice as the court of first instance.
APPENDIX 1
Experience Page
1. As a minimum, the Experience page must include the following information:
1.1.1 Time and date of the Experience.
1.1.2 A location description, including an exact address.
1.1.3 A clear and intriguing description of the Experience (what will participants be doing and experiencing?).
1.1.4 Ticket purchase price including GST.
1.1.5 Content of the ticket. What is the Hosting Artist providing the participants (for example: a welcome drink, art supplies)?
1.1.6 High quality images or photos.
1.1.7 If the Hosting Artist has opted-in to provide Private Experiences: The minimum price for Private Experiences including GST.
1.1.8 If the Hosting Artist has opted in to provide Private Experiences: Information on whether the Hosting Artist can travel to private participants’ locations (including between Calgary and Edmonton) and, if so, the areas they will travel to and any transportation fees (including GST), stating whether those fees are included in the Private Experience price or charged in addition.
APPENDIX 2
Hosting Artist Benefits
Consider Dots & Lines as your active partner for the journey. Our focus is to actively highlight our Hosting Artists and help them succeed through a variety of methods, which will be laid out below. Here are the methods that we have chosen to help benefit the artists joining Dots & Lines as a Hosting Artist:
1. Marketing and Promotion. As our hosting artist, you can take advantage of powerful and influential exposure across online and print media. We help you create and grow your presence through our very own marketing campaigns. Artists are advised to use Dots & Lines as an additional channel for exposure along with their own marketing efforts.
2. We assist our artists with anything from refining their experience description, guiding them on pricing their experience, to giving them all the tips on securing a venue for their experience at minimal or no cost.
3. Management tools to help you get going and stay organized. It only takes a few minutes to set up a Hosting Artist account. We do not request any upfront costs or subscription fees. Once you have submitted your first experience and reached full access to your artist dashboard, our management tools will help you get started and stay organized. We make it simpler for you to share your art with the world. What’s great is that we have only started and you as our Hosting Artist will notice that the platform will constantly evolve. You will notice not only an enhancement and improvement to the existing features, but you will also notice more and more new features that are designed to make your journey as a hosting artist as beneficial, smooth, and organized as possible.
4. Private Bookings. As our Hosting Artist you will enjoy new income opportunities in the form of private bookings. We will expose you, through our extensive marketing efforts, to a broad selection of potential private clients, including groups and corporates. In order to provide you with this exposure and to provide the best possible service to prospective private clients of yours, we will handle all private bookings inquires and lease with you and the potential private client until the booking is complete.
5. Automated and Secure Payment System. Dots & Lines works with the secure and automated payment processing provider, Stripe, in order to process payments securely and handle all payments from ticket buyers. Stripe charges Dots & Lines a fee for every transaction taking place on the website (e.g. from every ticket sold). Dots & Lines incurs all of Stripe’s handling and processing fees, and thus saves this extra cost from its Hosting Artists. In order to provide our artists with Dots & Lines’ Hosting Artist Benefits (laid out above), Dots & Lines charges service fees outlined in the above section.
APPENDIX 3
Gift Card
Gift Cards and Flex Pass. The Dots & Lines Gift Card and Flex Pass can be used on all experiences available on dotslines.ca, in Calgary, Edmonton, and online. They are valid for 1 year from the date of purchase and for one-time use only. To redeem, apply the code at checkout. If the booked experience costs less than the card or pass value, the remaining balance does not carry forward. The Flex Pass lets you bundle 2 experiences and save 10% off General Admission prices. Gift cards and passes are non-refundable.
APPENDIX 4
Brand Ambassador Collaboration Policy
By collaborating with Dots & Lines Inc. (“we,” “us”), you (“Brand Ambassador”) agree to create and share original promotional content that aligns with our brand values and complies with Canadian advertising laws, on the agreed platforms and timelines. You retain ownership of your content but grant us a non-exclusive right to use it for marketing purposes. Compensation will be as outlined in the individual agreement and paid upon approved delivery. You agree not to promote competing brands during the campaign unless authorized in writing, and to keep confidential any sensitive information received. This collaboration is governed by the laws of Alberta and Canada, with disputes resolved exclusively in Calgary courts. All content must meet legal, advertising, and platform standards, and you confirm it does not infringe third-party rights. This agreement begins on the campaign start date and may be terminated by written notice or immediately for breach.
